Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Snap SOP website, platform, and services (collectively, the “Service”) provided by Snap SOP, LLC. (“Snap SOP,” “we,” “us,” or “our”). By creating an account, starting a free trial, or purchasing a subscription, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. Eligibility and Account Registration

  • You must be 18 or older and legally competent to enter into binding contracts.
  • Provide accurate, current, and complete information, and maintain it.
  • You are responsible for all activity under your account. Notify Snap SOP immediately of unauthorized access.

 

2. Free Trials

  • Free trials may be offered at our discretion. Duration, features, and limitations may change.
  • Free trials may automatically convert to paid subscriptions unless canceled.
  • Snap SOP may suspend or terminate trials at any time without notice.

 

3. Subscriptions, Payment, and Billing

3.1 Subscription Plans

  • Access is subscription-based. Features, limits, and pricing vary by plan.

 

3.2 Payment Authorization

  • You authorize Snap SOP to charge your payment method for all fees.
  • Non-payment may result in suspension or termination without notice.

 

3.3 Pricing Changes

  • Snap SOP may change subscription fees, features, or plans, effective on renewal.

 

3.4 Refund Policy

  • Except as required by law, all fees are non-refundable.

 

3.5 Cancellation Policy

  • Monthly Subscriptions: If you cancel a monthly subscription, you will retain access until the end of your current billing period. No further payments will be charged after cancellation.
  • Annual Subscriptions: If you cancel an annual subscription, the cancellation will take effect at the end of the current 12-month period. No further payments will be charged after the annual term ends.
  • Cancellation requests must be submitted through your account or by contacting Snap SOP support.

 

4. Acceptable Use

You agree not to:

  1. Use the Service unlawfully or harm others.
  2. Access or interfere with unauthorized systems or data.
  3. Reverse engineer, copy, modify, or resell the Service.
  4. Upload malware, viruses, or spam.
  5. Misrepresent your identity.

 

Snap SOP may suspend or terminate accounts for violations without prior notice.

5. User Content and Data

  • You retain ownership of your content (“User Content”).
  • You grant Snap SOP a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display User Content solely to provide and improve the Service.
  • You represent that User Content does not violate laws, third-party rights, or data protection regulations.
  • Snap SOP acts as a data processor under applicable laws; you are the data controller.
  • Enterprise customers may execute a separate Data Processing Addendum (DPA) governing HIPAA, GDPR, and other applicable laws.

 

6. Data Security & Retention

  • Snap SOP implements administrative, technical, and physical safeguards in line with recognized security standards and best practices for data protection.
  • We conduct regular risk assessments and audits to identify and mitigate potential security risks.
  • Data is retained only as necessary for service provision, legal compliance, dispute resolution, and enforcement.
  • Snap SOP will promptly notify affected customers of a confirmed data breach in accordance with applicable law.
  • Customers are responsible for securely managing credentials and access.

 

7. Service Levels (SLA)

  • Snap SOP targets an uptime of 99.9% for production systems, measured monthly, but uptime is not guaranteed. We are committed to delivering reliable service and will make best efforts to meet this target.
  • Scheduled maintenance will be communicated at least 48 hours in advance via email.
  • If downtime exceeds the target uptime, pro-rata service credits may be issued, calculated based on the amount of downtime experienced relative to the monthly service fee. These credits are issued at Snap SOP’s discretion.
  • Snap SOP will not be liable for any indirect, incidental, or consequential damages, including but not limited to lost profits, business opportunities, or data loss, resulting from downtime or service interruptions.

 

8. Intellectual Property

  • Snap SOP and its licensors retain all rights to the Service, software, content, and trademarks.
  • You may not copy, modify, distribute, create derivative works, or circumvent access restrictions.
  • All rights not expressly granted are reserved.

 

9. Service Modifications

  • Snap SOP may modify, suspend, or discontinue the Service at any time without liability.
  • Enterprise customers will receive reasonable notice of material changes.
  • Service interruptions due to maintenance, force majeure, or third-party failures are not liable events.

 

10. Warranties & Disclaimers

  • The Service is provided “as is” and “as available.”
  • Snap SOP disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
  • Snap SOP does not guarantee accuracy, reliability, or completeness of the Service.

 

11. Limitation of Liability

  • To the maximum extent permitted by law:
    • Snap SOP is not liable for indirect, incidental, special, consequential, or punitive damages.
    • Total liability is capped at the fees paid in the 12 months preceding the claim.
  • Liability for death, personal injury, fraud, or willful misconduct is not limited.

 

12. Indemnification

  • You agree to indemnify and hold harmless Snap SOP, its affiliates, and personnel from claims arising from your use of the Service, User Content, or violation of these Terms.
  • Enterprise customers may negotiate additional indemnification clauses under separate agreements.

 

13. Suspension and Termination

  • Accounts may be suspended or terminated for violations, non-payment, fraud, or other harmful activity.
  • Enterprise customers will receive commercially reasonable notice except in emergencies.
  • Access ceases upon termination; limited-time export of User Content may be provided.

 

14. Governing Law, Venue & International Use

  • Colorado law governs these Terms.
  • Disputes are resolved in state or federal courts in Colorado, except as governed by arbitration provisions.
  • International users must comply with export controls, GDPR, CCPA, and other local laws.

 

15. Mandatory Arbitration & Class Action Waiver

  • All disputes shall be resolved by binding arbitration under the American Arbitration Association rules.
  • You waive any right to participate in class or representative actions.
  • Judgment on the arbitration award may be entered in any court with jurisdiction.

 

16. Privacy Policy and Data Processing Addendum

  • Your use of the Service is also governed by Snap SOP’s Privacy Policy, including any applicable Data Processing Addendum (DPA), available at https://www.SnapSOP.com/privacy-policy
  • By using the Service, you acknowledge and agree to the terms of the Privacy Policy and DPA.

 

17. Changes to Terms

  • Snap SOP may update these Terms; material changes will be reasonably communicated.
  • Continued use constitutes acceptance of updated Terms.
